Modem AI Terms of Use

1. Acceptance of Terms

By downloading, installing, or using Modem AI, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use the application.

These Terms constitute a legally binding agreement between you and Mayo Software LLC ("we," "us," or "our") regarding your use of Modem AI.

2. Description of Service

Modem AI is a privacy-focused artificial intelligence application that runs entirely on your device. The application provides:

• Private conversation capabilities

• Model download and management features

All AI processing occurs locally on your device without transmitting your conversations to external servers.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Modem AI on devices that you own or control, for both personal and commercial purposes.

You may not sublicense, sell, rent, lease, or otherwise distribute Modem AI to third parties. This license does not grant you any ownership rights to the application itself.

4. User Responsibilities

You agree to:

• Use Modem AI only for lawful purposes and in accordance with these Terms
• Not attempt to reverse engineer, decompile, or disassemble the application
• Not use Modem AI to generate, distribute, or facilitate illegal content
• Not attempt to circumvent any limitations or restrictions built into the application
• Not use Modem AI in any way that could damage, disable, or impair the application
• Ensure you have adequate device storage and resources to run the application

5. AI-Generated Content

You acknowledge and agree that:

• AI-generated responses may contain inaccuracies, errors, or misleading information
• You should not rely solely on AI-generated content for important decisions
• The AI model has limitations and may produce lower-quality responses than server-based AI systems
• You are solely responsible for how you use and act upon AI-generated content
• We do not guarantee the accuracy, completeness, or reliability of AI-generated responses

6. Intellectual Property

Modem AI, including its design, features, and functionality, is owned by Mayo Software LLC and is protected by copyright, trademark, and other intellectual property laws. The underlying AI model is subject to its own license terms.

You retain ownership of any content you input into Modem AI. We do not claim ownership of your conversations or data.

7. Privacy

8. Disclaimers and Limitations of Liability

AS-IS Basis

MODEM AI IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAYO SOFTWARE LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use Modem AI
• Any inaccurate or harmful AI-generated content
• Any unauthorized access to or use of your device
• Any bugs, errors, or interruptions in the application

9. Updates and Modifications

We may update Modem AI from time to time to add features, fix bugs, or improve performance. These updates may be automatically downloaded and installed on your device.

We reserve the right to modify these Terms at any time. We will notify you of material changes through the application. Your continued use of Modem AI after changes to the Terms constitutes your acceptance of the modified Terms.

10. Termination

You may stop using Modem AI at any time by uninstalling the application from your device. We reserve the right to suspend or terminate your access to Modem AI if you violate these Terms.

11. Pricing and Free Use

Modem AI is currently provided free of charge. We reserve the right to introduce pricing or subscription models in the future. If we introduce fees, we will provide advance notice and you will have the option to continue using the application under the new terms or discontinue use.
